We’re pleased to announce that our corporate team — recognised as one of the UK’s most active dealmakers by Experian — played a crucial role in advising the shareholders of leading Swiss electronic trading systems provider MACD throughout its acquisition by Foconis, a portfolio company of Main Capital Partners.
This strategic acquisition marks a significant milestone for both MACD and Foconis, enhancing their market presence and expanding their footprints into Switzerland and the UK.
The acquisition of MACD — known for its innovative technology solutions in the financial sector, including MAX and AIXECUTE — will complement Foconis' existing product portfolio, particularly its DECIDE product line. This merger is expected to bring substantial benefits to both companies' clients by offering a broader range of services and solutions.
Led by Head of Private Equity Daniel Hayhurst, our corporate team provided comprehensive legal support throughout the transaction.
Daniel was assisted by Emma Norman-Jones, with intellectual property support being provided by specialists Sara Ludlam and Emily Rickard. We leveraged our extensive experience in private equity transactions, drawing on expertise from our dedicated technology sector group to ensure a smooth and successful deal for the shareholders of MACD.
We also worked alongside our Association of European Lawyers partner firm Noerr in relation to the transaction.
Daniel Hayhurst said: "We’re delighted to have advised the shareholders of MACD on this significant transaction. The acquisition by Foconis not only strengthens MACD's market position but also provides exciting growth opportunities for both companies. Our team's expertise in private equity — alongside our highly collaborative approach — were the keys to achieving a successful outcome for our client."
George Macdonald, CEO of MACD, commented: “Daniel Hayhurst and Emma Norman Jones of Brabners were very helpful in streamlining the whole process. Their expert knowledge and flexible attitude was a great support”.
Our private equity team is renowned for its ability to navigate the complexities of private equity transactions — providing pragmatic and practical advice to management teams, shareholders and investors.
