Getting contracts right

Your commercial contracts and agreements should work for you — achieving your objectives and locking in the value of your relationships while providing clarity and protecting you from costly and distracting disputes.

For cost-conscious businesses, the temptation may be to treat terms and conditions and other commercial contracts as a necessary evil, rather than key assets. However, we know from experience just how costly it can be if you fail to invest in getting them right. A poorly drafted contract can cause huge headaches down the line and in the worst cases even diminish the value of your business.

If you’re thinking about selling or exiting your business — whether now or in the future — any potential buyer will scrutinise the robustness and financial certainty of your underlying contractual arrangements.

Case study: Commonwealth Sport

The international governing body that oversees the Commonwealth Games and Youth Games instructed us in respect of a multi-million-dollar dispute following the decision of the State of Victoria, Australia to withdraw as the host state for the 2026 Commonwealth Games.

We advised Commonwealth Sport in an action for breach of contract, which was successfully concluded in an agreement worth AUD $400m.

We further advised on multiple high value, multi-territory arrangements for the 2026 and 2030 Commonwealth Games cycles, including drafting, negotiating and updating host city contracts and host collaboration agreements for Glasgow 2026, Amdavad 2030 and the Malta 2027 Youth Games.

These were major, multi stakeholder agreements involving governments, organising committees and commercial, media, marketing, sponsorship and broadcaster arrangements across numerous territories (including host broadcaster arrangements, distribution arrangements and multi party media rights).

Case study: Quintessentially Travel

We provided the global luxury lifestyle services brand with extensive, high value legal support including international franchising, commercial contracts, risk mitigation, strategic governance and litigation. We advised continuously on complex, time-critical franchise agreements across multiple territories including Lebanon, Japan and other jurisdictions.

Our team managed negotiation rounds with prospective franchisees and their local counsel, including preparing joint review meetings and advising on adjusting commercial terms, insurance related risks and alternative solutions. This work directly enabled Quintessentially’s accelerated international expansion strategy.

We also handled key strategic commercial arrangements with major non-local partners, Mastercard and VISA.

Case study: Dechra Pharmaceuticals

We delivered high value commercial technology support to the highly regulated veterinary endocrinology and topical dermatology leader — which has a broad portfolio of analgesia, anaesthetics and other pain treatment products — on a number of high value and time‑critical contractual matters. This included detailed, technical and commercial advice on service levels, service credits, outage provisions and termination rights.

This relationship demonstrates our ability to act as a trusted advisor to a complex, multinational, highly regulated life sciences business. It showcases our expertise in technology, outsourcing and commercial contracting within a global pharmaceutical environment, including advising multiple senior stakeholders across an evolving programme of digital transformation and infrastructure projects.

Dechra has praised the “comprehensive nature” of our contract reviews and “the strength of the resulting contractual position”.

Football tactics board

Case study: Wrexham AFC

We provided Wrexham AFC — the football club owned by Hollywood superstars, Ryan Reynolds and Rob McElhenney — with wide ranging legal support, delivering a blend of commercial contracts, regulatory guidance and intellectual property support tailored to the operational demands of a fast growing professional football organisation.

Much of this work has centred on ensuring that the club’s commercial relationships, supporter facing documentation and brand assets are legally robust, aligned with regulatory requirements and capable of supporting its ongoing domestic and international growth.

We advised the club on its major supplier arrangements — most notably assisting with the negotiation and refinement of its kit supplier agreement, addressing commercial terms, compliance matters and drafting improvements required to finalise its long term technical partnership.

We also supported the club in strengthening its contractual governance across membership, season ticketing and matchday operations through the preparation and updating of key fan facing terms and conditions.

Clyde River Glasgow nighttime

Case study: Peel Ports Group

We advised Peel Ports Group on its major long term concession agreement with Global Ports Holdings (GPH) in relation to Clydeport — a strategically significant transaction that’s expected to deliver transformational economic and commercial benefits across the Clyde region.

The deal builds on the successful commercial framework previously implemented for the Port of Liverpool (Peel Waters) transaction and reflects Peel Ports Group’s wider national investment strategy in partnership with GPH.

The project involved complex multi-stakeholder negotiation, long term risk allocation, regulatory structuring and integration with Clydeport’s broader regeneration and development plans. The arrangement is expected to materially expand Clydeport’s cruise and tourism capacity and represents one of the region’s most high-impact port infrastructure investments in recent years.

We also provided legal support across a range of significant commercial and technology‑related matters. This work centred on complex contracting and the delivery of large‑scale technology and operational projects, including multi‑million‑pound IT infrastructure initiatives designed to strengthen core systems and modernise operational capabilities.

We advised on procurement strategy, software and services contracting, licensing, implementation arrangements and the wider commercial frameworks required to embed new digital tools within essential port and canal operations. Throughout, we applied a practical, commercially minded approach, helping Peel Ports Group to navigate sophisticated contractual issues, manage risk and ensure that operational and strategic requirements were supported by robust, well‑structured agreements.
