Andrew is a Consultant in our corporate team.
An experienced corporate lawyer, he handles issues such as company mergers, acquisitions and disposals, MBOs, company structures and joint ventures.
Andrew's clients — which vary from SMEs to large national and international corporates — operate across various sectors, including technology, manufacturing, recruitment and property development.
As well as domestic transactions, he’s experienced in handling UK corporate transactions that involve overseas buyers, including those from the US and Europe.
Alongside his M&A work, Andrew regularly advises on group simplification and other intra-group reorganisation projects including demergers, partitions, assets transfers and carve-outs of non-core subsidiaries (where he works closely with tax advisers), as well as corporate joint venture and funding arrangements, particularly in the property development and housebuilding sectors.
Andrew prioritises giving clear, jargon free, practical advice to clients and providing regular status summaries of the key outstanding issues under discussion. This is particularly important where clients are going through a corporate transaction for the first time.
He has been described in leading legal directory Chambers & Partners as an “affable but forceful character” and “a very good negotiator”.
Andrew has previously been a member of a regional regeneration fund where he was involved in considering significant infra-structure grant applications and until 2021 was a trustee of the Moorlands Learning Trust, a multi-academy trust.
Andrew has a strong background in corporate law and has practised in Leeds for over three decades. As well as advising clients, he has valuable experience of seeing a transaction from a client’s point of view, having himself been involved in the sale of a law firm in 2020.
Outside of work, Andrew enjoys staying active by skiing, golfing, cycling and walking.
Andrew joined us in 2022 and is based in our Leeds office.

Acting in relation to a demerger and subsequent sale of two companies holding rail network track access rights to run trains from locations in Wales and Scotland to London.

Advising on equity terms in connection with a multi-million-pound group company sale to a private equity-backed buyer, involving a significant roll-over of shares by the seller for shares in the PE structure.
Reorganisation of a property group
Advising on the reorganisation of a property group which included preparing and completing an offer to buy-out in excess of 50 minority shareholders.
Business sale to US group
Acting in the sale of a business that developed an innovative solution for repairing rail tracks to a US headquartered group.

Acting for the shareholders of Rural Solutions in a sale of its shares to Celnor Group, a leading UK investor in entrepreneur-led businesses.
