Partnership Disputes

Our commercial litigation team is one of the largest commercial litigation teams in the North West and we operate nationwide.  We have a great deal of experience across our team in providing advice and representation in partnership disputes.

Partnership disputes can arise for a variety of reasons and often what is required is a negotiated managed exit from the partnership or a winding up or dissolution of the partnership affairs.

Often a partner may need to be expelled for failing to take up their share of the workload.  You may yourself have been expelled from a partnership unfairly.  We can advise on the remedies available to you and provide advice and guidance on the implications of the available options.  

We can advise on steps to be taken against partnership members for breaches of obligations under partnership agreements or, where there is no agreement, for breach of their fiduciary or statutory duties (including under the Partnership Act 1980).  Where you have been wrongly accused of breach of duty we can advise on the remedies available to you.  We are experienced in advising in relation to general partnerships, limited partnerships, and limited liability partnerships (LLPs).

If a partnership is a victim of a breach of obligation by, for example, breach of a non-competition provision, or where a partner is taking more than their entitlement to profits, we are able to work with to you seek a remedy through the Courts including seeking damages for the partnership for any breach of duty and an account of any unlawful profits made.  If necessary we can seek urgent injunctive relief to safeguard the future interests of the partnership against further breaches.
