A vast number of charities are set up as private companies limited by guarantee. Many charities also operate wholly owned trading subsidiaries which are set up as companies limited by shares. Such organisations are subject to the dual regulation of the Charity Commission, as the regulator of charities in England and Wales and Companies House, the regulator of companies.

The Companies Act 2006, which applies to charities set up as companies and any trading subsidiaries, imposes a variety of obligations in respect of record keeping. Furthermore, the Charities Acts require charities to submit selected information on an annual basis, the extent of which is dependent upon your charity’s income levels. It has been estimated that 70% of charitable companies are in a position where their records are incorrect or out of date.

In dealing with the demands of running a charity, regulatory matters can often fall low on the agenda. Unfortunately, failure to address these issues can bring consequences for both the charity and its trustees.

Persistent failure to deliver statutory documents to Companies House on time is a criminal offence punishable by fine. Late filing of accounts leads to automatic penalties payable from charitable funds.  Charitable companies can be struck off for failing to comply with company law requirements. Furthermore, individual trustees can be barred from holding office, or even held personally liable.
